Agreement to Terms

By accessing or using the TOKANO Native Ad Network platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and TOKANO.

Definitions

• "Platform" refers to the TOKANO website, dashboards, APIs, and ad serving technology.
• "Publisher" means a user who displays ads on their website/app to earn revenue.
• "Advertiser" means a user who creates campaigns to display ads on publisher properties.
• "Account" means your registered user profile on the Platform.
• "Content" includes websites, apps, ads, creatives, and any material submitted to the Platform.

Account Registration & Security

To use the Platform, you must create an Account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access or breach
• Be at least 18 years old or the age of majority in your jurisdiction

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

Publisher Terms

As a Publisher, you agree to:

• Only place ad code on websites/apps you own or have explicit permission to monetize
• Not manipulate, artificially inflate, or generate invalid clicks or impressions
• Not use bots, click farms, VPN traffic, or incentivized clicks
• Maintain websites that comply with applicable laws and do not contain prohibited content (illegal, hate speech, adult, malware, etc.)
• Not modify the ad code or interfere with ad rendering
• Allow us to audit your traffic and revenue data upon request

Revenue is calculated based on valid impressions and clicks. We pay 70% revenue share to publishers. Minimum payout thresholds and schedules are detailed in your dashboard. We reserve the right to withhold payment for invalid traffic.

Advertiser Terms

As an Advertiser, you agree to:

• Only advertise legal products and services
• Not submit misleading, false, or deceptive ad creatives
• Not advertise prohibited content (gambling without license, drugs, weapons, counterfeit goods, etc.)
• Pay all campaign charges promptly via approved payment methods
• Not use tracking pixels or scripts that harm publisher websites or users
• Accept that campaign approval is subject to our review and policies

Campaign budgets are non-refundable once ads begin serving, except in cases of Platform error or fraud.

Prohibited Activities

You may not use the Platform to:

• Violate any applicable laws or regulations
• Infringe intellectual property rights of others
• Distribute malware, viruses, or harmful code
• Engage in click fraud, impression fraud, or conversion fraud
• Harvest data or scrape the Platform without authorization
• Impersonate any person or entity
• Interfere with or compromise the integrity, security, or performance of the Platform infrastructure

Intellectual Property

TOKANO retains all rights to the Platform, including software, trademarks, logos, and technology. You retain ownership of your Content but grant us a worldwide, non-exclusive license to use, display, and distribute it for the purpose of operating the Platform.

Limitation of Liability

To the maximum extent permitted by law, TOKANO shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability shall not exceed the amount you paid to us (or we paid to you) in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold harmless TOKANO and its affiliates from any claims, damages, or expenses arising from your use of the Platform, your Content, or your violation of these Terms.

Termination

You may terminate your Account at any time. We may suspend or terminate your access for violations of these Terms, fraud, or legal requirements. Upon termination, your right to use the Platform ceases immediately. Outstanding balances will be settled according to our payment policies.

Governing Law

These Terms are governed by the laws of the jurisdiction where TOKANO is registered, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or in the courts of that jurisdiction.

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or dashboard notice. Continued use after changes constitutes acceptance.
